Service Agreement

This Service Agreement ("Agreement") is entered into between Conduit ("Provider," "we," "us") and the subscribing business ("Client," "you").
1. Services
Conduit provides B2B outbound sales services including:
- Targeted lead list building and research
- Cold email campaign creation and management
- Email deliverability optimization and warmup
- Response handling and qualification
- Appointment booking with qualified prospects
2. Service Tiers

3. Payment Terms
- Billing: Monthly, charged in advance on subscription start date
- Payment Method: Credit card via Stripe
- Failed Payments: 3-day grace period, service paused after 7 days
- Late Fees: None, but service suspended until payment received
4. Commitment & Cancellation
Minimum Commitment
All subscriptions require a three (3) month minimum commitment. Early cancellation within the initial 3-month period will result in billing for the remainder of the commitment period.
Cancellation After Minimum
After the initial 3-month period, Client may cancel with thirty (30) days written notice. Billing continues through the notice period.

Refunds
- No refunds for partial months
- No refunds for unused contacts
- Refunds considered on case-by-case basis for service failures
5. Service Delivery
What We Deliver
- Campaign setup within 5 business days of onboarding
- Daily campaign monitoring and optimization
- Weekly performance reports
- Response forwarding within 24 hours (business days)
What We Don't Guarantee
- Specific number of responses or meetings
- Conversion rates or closed deals
- Email delivery to all contacts (deliverability varies)
Outbound sales results depend on many factors including your offer, market conditions, and timing. We commit to best practices and continuous optimization, not specific outcomes.
6. Client Responsibilities
Client agrees to:
- Provide accurate business information and ideal customer profile
- Respond to qualified leads within 48 hours
- Maintain professional communication with prospects
- Not use services for spam, illegal offers, or deceptive practices
- Provide feedback for campaign optimization
7. Data & Privacy
- Lead data sourced from compliant third-party providers
- Client data handled per our Privacy Policy
- We do not sell or share Client data
- GDPR/CAN-SPAM compliance maintained
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Provider's total liability limited to fees paid in the 3 months preceding any claim
- Provider not liable for indirect, incidental, or consequential damages
- Provider not liable for lost profits, lost business, or reputational harm
- Client responsible for their own sales process and close rates
9. Intellectual Property
- Campaign templates and strategies remain Provider property
- Lead lists generated for Client may be retained by Client
- Client grants permission to use company name/logo in client lists (may opt out)
10. Term & Termination
Term
This Agreement begins on subscription start date and continues until cancelled per Section 4.
Termination for Cause
Either party may terminate immediately if:
- Material breach not cured within 14 days of notice
- Bankruptcy or insolvency
- Illegal activity discovered
Effect of Termination
- Access to platform/reports ends at termination
- Outstanding fees remain due
- Sections 6-8 survive termination
11. Modifications
We may update this Agreement with 30 days notice. Continued use after notice constitutes acceptance. Material changes allow cancellation without penalty.
12. Governing Law
This Agreement governed by the laws of the State of Washington. Disputes resolved through binding arbitration.
13. Entire Agreement
This Agreement constitutes the entire agreement between parties. No verbal agreements or representations apply.
Acceptance
By subscribing to Conduit services, you acknowledge that you have read, understood, and agree to be bound by this Service Agreement.
